SPOTHUB USER TERMS & CONDITIONS

Welcome to SpotHub.

These User Terms & Conditions (“Terms”) govern your access to and use of the SpotHub website, web application, progressive web application, QR-based experiences, and related services (collectively, the “Platform”).

SpotHub is operated by KIRUNIVERSE LLC, a New York limited liability company (“KIRUNIVERSE,” “SpotHub,” “we,” “us,” or “our”).

PLEASE READ THESE TERMS CAREFULLY. THESE TERMS INCLUDE AN AGREEMENT TO RESOLVE MOST DISPUTES THROUGH BINDING INDIVIDUAL ARBITRATION, RATHER THAN IN COURT, AND INCLUDE A CLASS-ACTION AND JURY-TRIAL WAIVER, TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW. SEE SECTION 24.

By affirmatively accepting these Terms or accessing or using SpotHub after being presented with a request for acceptance, you agree to be bound by them. If you do not agree, you may not use the Platform.

1. What SpotHub Does

SpotHub is a local-discovery platform designed to help users discover businesses, attractions, services, experiences, and other destinations (“Vendors”) in or around participating markets and hotel locations.

Users may access SpotHub directly or through participating hotels and other distribution partners.

SpotHub may provide information such as Vendor names, descriptions, categories, addresses, telephone numbers, websites, social-media links, photographs, directions, hours, promotions, and other information intended to help users discover and connect with local businesses and experiences.

SpotHub is a discovery and information platform. Unless expressly stated otherwise, SpotHub does not itself own, operate, manage, control, or provide the products, services, locations, or experiences offered by Vendors appearing on the Platform.

2. Eligibility and Use of SpotHub

You may use SpotHub only in compliance with these Terms and applicable law.

If you are under the age at which you may independently enter into a binding agreement in your jurisdiction, you may use SpotHub only with the involvement and permission of a parent or legal guardian.

Certain Vendors, products, services, venues, or activities discovered through SpotHub may have their own age requirements or legal restrictions. You are responsible for complying with those requirements.

3. No Account or Purchase Required for General Discovery

SpotHub may allow users to browse participating Vendors and local information without creating a user account or purchasing anything from SpotHub.

We may introduce optional accounts, personalization, saved preferences, communications, or other features in the future. Additional terms or disclosures may apply to those features.

Access to SpotHub through a participating hotel does not require you to purchase from any Vendor.

4. Independent Vendors

Vendors appearing on SpotHub are independent businesses.

Unless expressly identified otherwise, a Vendor is not an employee, agent, representative, joint venturer, or subsidiary of KIRUNIVERSE or SpotHub.

SpotHub does not control a Vendor's:

  • products or services;
  • prices;
  • operating hours;
  • inventory or availability;
  • employees or contractors;
  • premises;
  • safety practices;
  • accessibility;
  • licensing or regulatory compliance;
  • refund, return, reservation, or cancellation policies; or
  • interactions or transactions with users.

Your decision to visit, contact, purchase from, book with, hire, or otherwise interact with a Vendor is your own.

5. Transactions With Vendors

Unless SpotHub expressly tells you otherwise in connection with a particular feature, transactions with Vendors occur directly between you and the Vendor.

SpotHub is not the seller, merchant, restaurant, service provider, booking provider, payment processor, transportation provider, tour operator, venue operator, or other provider of a Vendor's goods or services merely because you discovered that Vendor through SpotHub.

The Vendor's own prices, terms, policies, warranties, refund rules, cancellation rules, and other conditions may apply to your transaction.

Questions, complaints, refunds, cancellations, product issues, service disputes, or other matters relating to a Vendor transaction should generally be addressed directly with the applicable Vendor.

6. Participating Hotels and Distribution Partners

SpotHub may be made available to you through a participating hotel or other distribution partner.

The availability of SpotHub through a hotel does not, by itself, mean that the hotel owns, operates, controls, guarantees, or endorses SpotHub or every Vendor appearing on the Platform.

Similarly, the appearance of a Vendor within a SpotHub experience associated with a particular hotel does not, by itself, mean that the hotel recommends, guarantees, or endorses that Vendor.

Participating hotels retain their own concierge, front-desk, guest-service, and recommendation practices independently of SpotHub.

7. Vendor Information and Accuracy

We work to provide useful and materially accurate information, but Vendor information can change.

Hours, addresses, telephone numbers, websites, social-media accounts, menus, prices, availability, promotions, services, photographs, and other information may be supplied by Vendors, obtained from publicly available sources, or updated at different times.

SpotHub does not guarantee that every piece of Vendor information will always be complete, current, or error-free.

Before relying on information that is particularly important to your plans, you should confirm it directly with the Vendor when appropriate.

If you identify information that appears inaccurate or outdated, you may report it to SpotHub at spothub@kiruniverse.com.

8. Vendor Participation, Paid Listings and Advertising

Some Vendors appearing on SpotHub may have a paid commercial relationship with KIRUNIVERSE or SpotHub.

Payment by a Vendor for participation does not constitute a guarantee, certification, or endorsement by SpotHub regarding that Vendor's products, services, quality, safety, or suitability for any particular user.

SpotHub may also display unpaid businesses, attractions, destinations, public resources, or other locations where we determine that doing so improves the usefulness of the Platform.

SpotHub may in the future offer advertising, sponsorships, promoted placements, or other paid promotional opportunities. Where applicable law requires identification or disclosure of advertising, sponsored, promoted, or other commercial content, SpotHub will provide appropriate disclosure.

9. Rankings, Categories and Recommendations

SpotHub may organize or display Vendors by location, category, alphabetical order, relevance, distance, popularity, availability, partnership status, user preferences, sponsorship or promotional status, or other criteria.

The order in which Vendors appear should not be interpreted as an objective ranking of quality unless SpotHub expressly states otherwise.

Categories, descriptions, recommendations, collections, and similar features are provided to assist discovery and do not guarantee that a Vendor will be suitable for every user or circumstance.

10. Directions, Maps and Location Information

SpotHub may provide or link to directions, maps, distance information, navigation tools, or location-based functionality.

Such functionality may depend on third-party services, device permissions, GPS data, or information outside SpotHub's control.

You are responsible for using appropriate judgment while traveling and for complying with road conditions, posted signs, traffic laws, property restrictions, and other applicable requirements.

SpotHub does not guarantee the accuracy, accessibility, safety, or suitability of any route or destination.

11. Third-Party Websites and Services

SpotHub may provide links or connections to Vendor websites, telephone numbers, social-media accounts, mapping services, reservation services, payment services, or other third-party websites and platforms.

These third parties operate independently of SpotHub and may have their own terms, privacy policies, security practices, and business practices.

SpotHub is not responsible for third-party websites, platforms, content, transactions, availability, or privacy practices merely because SpotHub provides a link or connection to them.

12. Acceptable Use

You agree not to misuse SpotHub.

You may not:

  • use the Platform for unlawful, fraudulent, deceptive, abusive, or malicious purposes;
  • attempt to gain unauthorized access to SpotHub, its systems, databases, accounts, infrastructure, or administrative tools;
  • interfere with or disrupt the operation or security of the Platform;
  • introduce malware, malicious code, automated attacks, or harmful technology;
  • scrape, crawl, harvest, extract, reproduce, or systematically collect Platform data except as expressly authorized by KIRUNIVERSE or permitted by applicable law;
  • impersonate another person or organization;
  • misrepresent your affiliation with SpotHub, KIRUNIVERSE, a Hotel Partner, or a Vendor;
  • use SpotHub intellectual property in a manner that falsely suggests sponsorship, endorsement, authorization, or affiliation;
  • attempt to circumvent security, access, technical, or usage restrictions; or
  • use the Platform in a manner that infringes or violates the rights of another person or entity.

We may restrict or terminate access where reasonably necessary to protect users, partners, Vendors, KIRUNIVERSE, the Platform, or others.

13. SpotHub Intellectual Property

SpotHub and its associated software, technology, design, branding, logos, databases, interfaces, original content, organization, graphics, QR infrastructure, and other proprietary materials are owned by or licensed to KIRUNIVERSE and are protected by applicable intellectual-property laws.

Subject to these Terms, KIRUNIVERSE grants you a limited, personal, non-exclusive, non-transferable, revocable right to access and use SpotHub for lawful personal purposes.

These Terms do not transfer ownership of SpotHub intellectual property to you.

14. Vendor and Third-Party Content

Names, logos, photographs, trademarks, descriptions, and other materials relating to Vendors, hotels, or third parties may belong to those respective parties.

Their appearance on SpotHub does not transfer ownership of those materials to KIRUNIVERSE or to users.

You may not assume that third-party content displayed through SpotHub is available for unrestricted reuse.

15. Platform Changes and Availability

SpotHub is an evolving platform.

We may add, modify, reorganize, suspend, discontinue, or replace features, categories, markets, Vendors, Hotel Partners, interfaces, functionality, or other aspects of SpotHub.

We do not guarantee that a particular Vendor, hotel, feature, market, category, listing, or functionality will remain available indefinitely.

We may also perform maintenance or experience outages, delays, technical failures, security events, or interruptions.

16. Safety and Personal Judgment

SpotHub helps users discover places and businesses but cannot evaluate every circumstance that may affect an individual user's experience.

You remain responsible for exercising reasonable judgment when deciding where to go, whom to interact with, what to purchase, and whether a particular product, service, location, activity, or experience is appropriate for you.

If you have concerns involving allergies, accessibility, medical needs, dietary restrictions, transportation, age restrictions, safety, licensing, or other important requirements, you should confirm relevant information directly with the Vendor before relying upon it.

17. No Guaranteed Experience or Results

SpotHub does not guarantee that:

  • you will enjoy or be satisfied with a Vendor;
  • a Vendor will be open or available;
  • a particular product, service, reservation, promotion, or experience will be available;
  • Vendor information will always be current;
  • a Vendor will meet your expectations;
  • the Platform will operate without interruption or error; or
  • using SpotHub will produce any particular result.

Experiences with independent Vendors may vary.

18. Privacy

Your use of SpotHub is also subject to the SpotHub Privacy Policy, which explains how KIRUNIVERSE collects, uses, shares, protects, and otherwise handles information associated with the Platform.

The Privacy Policy is incorporated into these Terms by reference.

Where a third-party website or service collects information directly from you, that third party's privacy practices may also apply.

19. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SPOTHUB AND ITS PLATFORM, CONTENT, TECHNOLOGY, INFORMATION, FEATURES, LINKS, AND RELATED SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”

KIRUNIVERSE disclaims warranties, express or implied, to the maximum extent permitted by applicable law, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, availability, security, uninterrupted operation, and particular results.

SpotHub does not warrant or guarantee the products, services, conduct, safety, quality, legality, accuracy, availability, or performance of independent Vendors, hotels, or other third parties.

20. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, KIRUNIVERSE LLC, SPOTHUB, AND THEIR OWNERS, MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, CONTRACTORS, REPRESENTATIVES, AFFILIATES, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, OR FOR LOST PROFITS, LOST DATA, LOST OPPORTUNITIES, LOSS OF GOODWILL, OR SIMILAR LOSSES ARISING OUT OF OR RELATING TO YOUR USE OF SPOTHUB.

To the maximum extent permitted by applicable law, KIRUNIVERSE and SpotHub are not responsible for injury, loss, damage, disputes, transactions, acts, omissions, products, services, premises, personnel, or conduct of independent Vendors, hotels, users, or other third parties merely because the relevant party was discovered through or connected with SpotHub.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE AGGREGATE MONETARY LIABILITY OF KIRUNIVERSE LLC, SPOTHUB, AND THEIR OWNERS, MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, CONTRACTORS, REPRESENTATIVES, AFFILIATES, AND AGENTS ARISING OUT OF OR RELATING TO THE PLATFORM, THESE TERMS, OR YOUR USE OF SPOTHUB SHALL NOT EXCEED $100.

This limitation applies in the aggregate, regardless of the number of claims, events, occurrences, or legal theories asserted.

Where applicable law does not permit a particular exclusion or limitation of liability, that exclusion or limitation will apply only to the maximum extent legally permitted.

Nothing in these Terms excludes or limits rights or liabilities that cannot lawfully be excluded or limited.

21. Indemnification

To the extent permitted by applicable law, you agree to defend, indemnify, and hold harmless KIRUNIVERSE LLC, SpotHub, and their owners, members, managers, officers, employees, contractors, representatives, affiliates, and agents from third-party claims, liabilities, damages, losses, and reasonable legal expenses arising from your:

  • unlawful or unauthorized use of SpotHub;
  • material violation of these Terms;
  • infringement or violation of another person's rights;
  • fraud, intentional misconduct, or malicious activity; or
  • content or information you submit to SpotHub, if user-submitted content features are made available.

This Section does not require you to indemnify a protected party for claims to the extent caused by that protected party's own conduct where such indemnification would be prohibited by applicable law.

22. Suspension or Termination of Access

We may suspend, restrict, or terminate access to SpotHub where reasonably necessary because of:

  • violation of these Terms;
  • fraud or suspected fraudulent activity;
  • unlawful conduct;
  • security threats;
  • abuse of the Platform;
  • attempts to interfere with SpotHub systems or other users;
  • infringement of third-party rights; or
  • other conduct that materially threatens SpotHub, its users, Vendors, Hotel Partners, technology, or operations.

Where appropriate, we may take less restrictive measures instead.

23. Informal Dispute Resolution

Before initiating arbitration or litigation against KIRUNIVERSE or SpotHub, you and KIRUNIVERSE agree to make a good-faith effort to resolve the dispute informally, except where applicable law prohibits requiring such a process.

You must send a written notice describing the dispute, the factual basis for your claim, your requested resolution, and information reasonably sufficient for KIRUNIVERSE to identify and respond to the matter to:

KIRUNIVERSE may provide a corresponding dispute notice to you using available contact information.

The parties will have thirty (30) days after receipt of a sufficiently detailed notice to attempt in good faith to resolve the dispute before either party initiates arbitration, unless a longer period is mutually agreed or applicable law requires otherwise.

This informal process does not prevent either party from seeking emergency or temporary relief where delay would materially prejudice rights or where such relief is otherwise permitted under the Arbitration Agreement below.

24. Arbitration Agreement; Class-Action and Jury-Trial Waivers

THIS SECTION AFFECTS YOUR LEGAL RIGHTS. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, YOU AND KIRUNIVERSE AGREE THAT COVERED DISPUTES WILL BE RESOLVED THROUGH FINAL AND BINDING INDIVIDUAL ARBITRATION RATHER THAN A LAWSUIT IN COURT.

A. Agreement to Arbitrate

Except for disputes expressly excluded below or where applicable law prohibits mandatory arbitration, you and KIRUNIVERSE agree that any dispute, claim, or controversy arising out of or relating to:

  • these Terms or any prior version of them;
  • SpotHub or the Platform;
  • your access to or use of SpotHub;
  • information, listings, Vendors, Hotel Partners, links, or content appearing through SpotHub;
  • communications between you and SpotHub;
  • the relationship between you and KIRUNIVERSE arising from SpotHub; or
  • the existence, interpretation, scope, enforcement, breach, termination, or validity of these Terms,

will be resolved through binding individual arbitration and not in a court of law, except as expressly provided below.

The Federal Arbitration Act governs the interpretation and enforcement of this Arbitration Agreement to the extent applicable.

B. Arbitration Administrator and Rules

Unless the parties agree otherwise, arbitration will be administered by the American Arbitration Association (“AAA”) under the AAA Consumer Arbitration Rules then in effect, as modified by this Arbitration Agreement.

If AAA is unavailable or unwilling to administer a particular dispute, the parties will attempt in good faith to select another nationally recognized arbitration provider. If they cannot agree, a court of competent jurisdiction may appoint an arbitration provider or arbitrator as permitted by applicable law.

C. Delegation to the Arbitrator

Except for questions expressly reserved for a court by applicable law or by the Class-Action Waiver below, the arbitrator, and not a federal, state, or local court or agency, will have exclusive authority to resolve disputes concerning the interpretation, applicability, enforceability, formation, scope, or validity of this Arbitration Agreement.

This includes threshold questions concerning whether a dispute is subject to arbitration and defenses to arbitration, to the maximum extent such matters may lawfully be delegated to an arbitrator.

D. Individual Arbitration Only

YOU AND KIRUNIVERSE AGREE THAT ARBITRATION WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS.

Neither you nor KIRUNIVERSE may bring or participate in a class, collective, consolidated, coordinated, or representative arbitration except to the extent applicable law requires otherwise.

The arbitrator may award relief only to the individual party seeking relief and only to the extent necessary to resolve that party's individual claim, except where applicable law requires otherwise.

E. Class-Action Waiver

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, YOU AND KIRUNIVERSE EACH WAIVE THE RIGHT TO BRING, JOIN, OR PARTICIPATE IN A CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE ACTION AGAINST THE OTHER.

Any dispute concerning the enforceability of this Class-Action Waiver that applicable law requires a court to determine will be decided by a court of competent jurisdiction.

F. Jury-Trial Waiver

For any dispute that is permitted to proceed in court rather than arbitration, YOU AND KIRUNIVERSE EACH WAIVE THE RIGHT TO A TRIAL BY JURY TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW.

G. Small-Claims Exception

Either party may bring an individual claim in a court that qualifies as small-claims court if the claim is within that court's jurisdiction and remains an individual action.

H. Intellectual-Property and Emergency Relief

Nothing in this Arbitration Agreement prevents either party from seeking temporary, preliminary, or emergency injunctive relief from a court of competent jurisdiction where necessary to protect intellectual-property rights, confidential information, Platform security, or against unauthorized access, misuse, fraud, or other conduct for which immediate relief is legally available.

Seeking such relief does not necessarily waive the obligation to arbitrate other portions of the dispute.

I. Arbitration Remedies

Subject to these Terms and applicable law, the arbitrator may award the same individual remedies that would otherwise be available in a court of competent jurisdiction.

The arbitrator's award will be final and binding except for any review expressly available under applicable arbitration law.

Judgment on the award may be entered in any court having jurisdiction.

J. Arbitration Fees

Arbitration fees and costs will be allocated in accordance with the applicable AAA Consumer Arbitration Rules and applicable law.

KIRUNIVERSE will pay amounts it is required to pay under those rules or applicable law.

K. Severability of Arbitration Provisions

If any portion of this Arbitration Agreement is found unenforceable, that portion will be severed or limited to the minimum extent necessary, and the remainder will remain effective to the maximum extent permitted by law.

If the prohibition against class or representative arbitration is finally determined to be unenforceable with respect to a particular claim or requested remedy and applicable law prevents that claim or remedy from proceeding on an individual basis in arbitration, that particular claim or remedy will proceed in a court of competent jurisdiction while arbitrable individual claims will remain subject to arbitration to the extent permitted by law.

Nothing in this Section requires arbitration where applicable law prohibits it.

25. Governing Law and Venue for Non-Arbitrable Disputes

These Terms and any dispute not subject to arbitration are governed by the laws of the State of New York, without regard to conflict-of-law principles, except where applicable law provides rights that cannot lawfully be waived or displaced.

Unless applicable law requires otherwise, any dispute permitted to proceed in court shall be brought in a court of competent jurisdiction located in the State of New York, and you and KIRUNIVERSE consent to such jurisdiction and venue.

26. Changes to These Terms

We may update these Terms as SpotHub evolves, our business practices change, or legal and regulatory requirements develop.

When we make material changes, we will update the Effective Date and provide additional notice where required by applicable law.

Where we request affirmative acceptance of updated Terms, the updated Terms will become binding upon your acceptance to the extent permitted by applicable law.

Your continued use of SpotHub after updated Terms become effective may constitute acceptance where permitted by applicable law.

Where affirmative consent is legally required, we will request it.

27. Severability and Waiver

Except as specifically provided in the Arbitration Agreement, if any provision of these Terms is held invalid or unenforceable, it will be enforced to the maximum extent legally permissible, and the remaining provisions will remain in effect.

KIRUNIVERSE's failure to enforce a provision on one occasion does not waive its right to enforce that provision later.

28. Entire Agreement

These Terms, together with the SpotHub Privacy Policy and any additional terms expressly presented for a particular SpotHub feature, constitute the agreement between you and KIRUNIVERSE regarding your use of the Platform.

Vendor transactions and third-party services may be subject to separate agreements between you and those third parties.
